Welcome to DEADSTCK.

These Terms of Service ("Terms", "Agreement", or "Terms of Service") govern your access to and use of the official DEADSTCK website, including all information, products, services, content, features, and functionalities made available through the website.

These Terms are issued by DS Labs ("Company", "we", "our", or "us"), the owner and operator of the DEADSTCK brand.

By accessing, browsing, registering an account, placing an order, or otherwise using the official DEADSTCK website, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with our Privacy Policy, Shipping Policy, Return, Exchange & Store Credit Policy, and any other policies published on our website.

If you do not agree with these Terms, you must discontinue your use of the website immediately.

WHEREAS

DS Labs operates the DEADSTCK website to provide customers with access to premium apparel and related products.

The Company is committed to conducting its business in a transparent, fair, and legally compliant manner while protecting the rights and interests of both the Company and its customers.

These Terms establish the legal relationship between DS Labs and every person who accesses or uses the DEADSTCK website and set forth the rights, obligations, responsibilities, and limitations applicable to such use.

Accordingly, by accessing or using the DEADSTCK website, you agree to comply with these Terms and all applicable laws and regulations.

1.4 Customer

"Customer", "User", or "You" means any individual or legal entity accessing, browsing, registering an account, purchasing products, or otherwise using the Website.

1.5 Products

"Products" means all apparel, garments, accessories, merchandise, gift cards, digital content, or any other goods offered for sale through the Website.

1.6 Order

"Order" means a request submitted by a Customer to purchase one or more Products from the Website.

Submission of an Order does not constitute acceptance by DS Labs.

1.7 Services

"Services" means all services provided by DS Labs through the Website, including product browsing, purchasing, customer support, order management, promotional activities, newsletters, and other related services.

1.8 Content

"Content" includes, without limitation:

1.9 Policies

"Policies" means the Shipping Policy, Privacy Policy, Return, Exchange & Store Credit Policy, and any additional policies published by DS Labs from time to time.

1.10 Business Day

"Business Day" means any day other than a Sunday or a public holiday observed in New Delhi, India.

2. ELIGIBILITY TO USE THE WEBSITE

By accessing or using the Website, you represent and warrant that:

  • you are at least eighteen (18) years of age, or are using the Website under the supervision of a parent or legal guardian;
  • you possess the legal capacity to enter into a binding agreement under applicable law;

DS Labs reserves the right to refuse access to the Website or terminate any account where these conditions are not satisfied.

3. ACCEPTANCE OF ORDERS

All Orders placed through the Website are subject to acceptance by DS Labs.

Receipt of an order confirmation email or payment acknowledgement does not constitute acceptance of your Order.

An Order shall be deemed accepted only when the Product has been dispatched from our warehouse.

DS Labs reserves the right, at its sole discretion, to refuse or cancel any Order prior to dispatch, including but not limited to circumstances involving:

  • inventory shortages;
  • pricing errors;
  • suspected fraudulent activity;
  • payment verification issues;
  • technical errors;
  • inaccurate customer information;
  • restrictions imposed by applicable law; or
  • any other legitimate business reason.

Where a prepaid Order is cancelled by DS Labs before dispatch, the Customer shall receive a full refund to the original method of payment within a reasonable period.

4. USER ACCOUNTS

Customers may purchase Products either by creating an account or, where available, by using guest checkout.

Where a Customer creates an account, the Customer agrees to:

  • maintain the confidentiality of login credentials;
  • provide accurate and current information;
  • promptly update any information that becomes inaccurate;
  • accept responsibility for all activities occurring under the account.

Customers are solely responsible for maintaining the security of their account credentials.

DS Labs shall not be liable for any unauthorised use of an account resulting from the Customer's failure to maintain appropriate security.

The Company reserves the right to suspend or terminate any account that violates these Terms or is reasonably suspected of fraudulent or unlawful activity.

5. WEBSITE USE

The Website and its Content are provided solely for lawful personal and non-commercial use.

You agree not to:

  • use the Website for any unlawful purpose;
  • interfere with or disrupt the operation or security of the Website;
  • attempt to gain unauthorised access to any systems, servers, or databases connected with the Website;
  • transmit viruses, malware, or other harmful code;

7. PRODUCTS & PRODUCT INFORMATION

DS Labs strives to ensure that all Products displayed on the official DEADSTCK website are described as accurately as reasonably possible.

Product descriptions, specifications, pricing, measurements, colours, sizing information, images, graphics, and other content are provided for informational purposes only.

While every effort is made to display Products accurately, actual colours and appearances may vary depending upon:

  • device settings;
  • screen resolution;
  • display calibration;
  • lighting conditions; and
  • manufacturing variations.

Minor variations in colour, texture, print placement, stitching, dimensions, or finishing shall not be considered defects and shall not constitute grounds for cancellation, refund, or exchange unless otherwise provided under the Company's Return, Exchange & Store Credit Policy.

DS Labs reserves the right to modify, discontinue, update, or replace any Product without prior notice.

8. PRODUCT AVAILABILITY

All Products are offered subject to availability.

The inclusion of a Product on the Website does not guarantee that it will remain available for purchase.

Although inventory is updated regularly, errors may occasionally occur.

Where a Product becomes unavailable after an Order has been placed but before dispatch, DS Labs reserves the right to cancel the affected Order.

Where payment has already been successfully received for an unavailable Product, the Customer shall receive a full refund to the original method of payment within a reasonable period.

9. PRICING

All prices displayed on the Website are quoted in Indian Rupees (INR) unless otherwise stated.

Prices are subject to change at any time without prior notice.

The price applicable to a Product shall be the price displayed at the time the Customer successfully places the Order.

DS Labs makes reasonable efforts to ensure pricing accuracy; however, pricing errors may occasionally occur due to technical or human error.

If a Product is listed at an incorrect price, DS Labs reserves the right to:

  • refuse the Order;
  • cancel the Order before dispatch; or
  • contact the Customer with corrected pricing before processing the Order.

Nothing contained herein obligates DS Labs to honour pricing resulting from obvious errors, system malfunctions, or typographical mistakes.

10. TAXES

Unless otherwise expressly stated, all prices displayed on the Website are inclusive of applicable Goods and Services Tax (GST).

Customers shall remain responsible for any taxes, duties, levies, or governmental charges applicable under law that are not expressly included within the displayed purchase price.

Tax invoices shall be generated in accordance with applicable Indian tax laws.

11. PAYMENTS

The Website supports payment through authorised payment service providers made available during checkout.

Accepted payment methods may include, without limitation:

  • UPI;
  • Debit Cards;
  • Credit Cards;
  • Net Banking;
  • Digital Wallets;
  • Buy Now Pay Later (where available); and
  • other payment methods introduced from time to time.

All payments are securely processed through third-party payment gateways.

DS Labs does not store Customers' complete payment card information.

Customers represent and warrant that they are authorised to use the selected payment method.

Any fraudulent or unauthorised payment activity may result in immediate cancellation of the Order and may be reported to the appropriate authorities.

12. PAYMENT AUTHORIZATION

Orders shall be processed only after successful payment authorisation.

If payment authorisation fails, the Order shall not be confirmed.

DS Labs shall not be liable for any delay or failure arising from:

  • declined transactions;
  • insufficient funds;
  • banking restrictions;
  • payment gateway downtime;
  • suspected fraudulent activity; or
  • technical issues affecting payment processing.

Customers should contact their payment provider for payment-related issues.

13. PROMOTIONS, DISCOUNTS & PROMOTIONAL CODES

From time to time, DS Labs may offer promotional campaigns, discount codes, introductory offers, or other incentives.

Unless expressly stated otherwise:

  • promotional codes cannot be combined;
  • promotional codes have no cash value;
  • promotional codes may not apply to all Products;
  • promotional codes may be subject to minimum purchase requirements;
  • promotional codes cannot be redeemed after expiry;
  • promotional codes may not be transferred or resold.

DS Labs reserves the right to cancel or withdraw any promotional offer at its sole discretion without prior notice.

Where misuse, abuse, or fraudulent activity relating to promotional offers is identified, the Company may refuse the relevant Order or permanently revoke eligibility for future promotions.

14. ORDER CONFIRMATION

Upon successful placement of an Order, Customers shall receive an order confirmation via the registered email address and/or mobile number.

Order confirmation serves only as acknowledgement that the Order has been received.

It does not constitute acceptance of the Order by DS Labs.

An Order shall be deemed accepted only when the Product has been dispatched.

15. ORDER CANCELLATION BY THE CUSTOMER

Customers may request cancellation of an Order only before it has been dispatched.

Once an Order has been dispatched from the Company's warehouse, cancellation shall no longer be possible.

Customers wishing to request cancellation before dispatch should contact DS Labs immediately using the official customer support channels.

Submission of a cancellation request does not guarantee that cancellation will be possible if the Order has already entered the dispatch process.

16. ORDER CANCELLATION BY DS LABS

DS Labs reserves the right to refuse or cancel any Order before dispatch, including but not limited to circumstances involving:

  • Product unavailability;
  • pricing or typographical errors;
  • duplicate Orders;
  • suspected fraudulent activity;
  • payment verification issues;
  • technical errors affecting Order processing;
  • violations of these Terms; or
  • compliance with applicable law.

Where a prepaid Order is cancelled by DS Labs prior to dispatch, a full refund shall be processed to the Customer's original payment method within a reasonable period.

17. SHIPPING

The shipment and delivery of Products shall be governed by the Company's Shipping Policy, which forms an integral part of these Terms.

Estimated delivery timelines are provided for informational purposes only and shall not constitute guaranteed delivery dates.

Risk in the Product shall pass to the Customer upon successful delivery to the shipping address provided during checkout.

Customers are responsible for ensuring that delivery details are accurate and complete.

18. RETURNS, EXCHANGES & STORE CREDIT

Returns, exchanges, and Store Credit shall be governed exclusively by the Company's Return, Exchange & Store Credit Policy.

By placing an Order, Customers acknowledge that they have reviewed and accepted that Policy.

Except where required by applicable law or where DS Labs is unable to fulfil a prepaid Order before dispatch, monetary refunds shall not be issued.

Eligible Customers may instead receive:

  • a size exchange, subject to availability; or
  • Store Credit issued in accordance with the Return, Exchange & Store Credit Policy.

19. INTELLECTUAL PROPERTY

All intellectual property rights relating to the Website, the DEADSTCK brand, and all Products offered by DS Labs are owned by or licensed to DS Labs and are protected under applicable intellectual property laws of India and international conventions.

Unless expressly stated otherwise, all Content available on the Website, including but not limited to:

  • trademarks;
  • trade names;
  • logos;
  • artwork;
  • graphics;
  • product designs;
  • photographs;
  • videos;
  • illustrations;
  • product descriptions;
  • website layouts;
  • icons;
  • typography;
  • source code;
  • software;
  • marketing materials; and
  • all other proprietary materials,

are the exclusive property of DS Labs or its licensors.

Nothing contained within these Terms shall be construed as granting any licence, ownership, or other rights in respect of such intellectual property.

20. TRADEMARKS

DEADSTCK, together with all associated logos, branding elements, slogans, trade dress, and visual identifiers, are proprietary assets of DS Labs.

No person shall, without the prior written consent of DS Labs:

  • reproduce;
  • copy;
  • imitate;
  • modify;
  • register;
  • distribute;
  • publish;
  • commercially exploit; or
  • otherwise use

any trademark, logo, or brand asset belonging to DS Labs.

Unauthorised use of any trademark may constitute infringement under applicable trademark laws and may result in legal action.

21. COPYRIGHT

All original Content published on the Website is protected by applicable copyright laws.

Except as expressly permitted by law or with prior written consent from DS Labs, Customers shall not:

  • reproduce Website Content;
  • copy product photographs;
  • use marketing materials;
  • download or redistribute proprietary designs;
  • create derivative works;
  • publicly display Website Content for commercial purposes; or
  • exploit any Content for financial gain.

Limited personal viewing of the Website for the purpose of shopping does not constitute permission to copy or reproduce its Content.

22. USER CONTENT & REVIEWS

Customers may, where permitted by the Website, submit reviews, comments, photographs, testimonials, or other content ("User Content").

By submitting User Content, the Customer represents and warrants that:

  • the content is truthful;
  • the content does not infringe any third-party rights;
  • the Customer owns or has the necessary rights to submit the content;
  • the content does not violate applicable law.

The Customer grants DS Labs a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, publish, display, modify, distribute, and otherwise utilise such User Content for business, marketing, promotional, and commercial purposes without additional compensation, unless prohibited by applicable law.

DS Labs reserves the right, but assumes no obligation, to remove or edit User Content that is unlawful, misleading, defamatory, offensive, fraudulent, or otherwise inconsistent with these Terms.

23. PROHIBITED ACTIVITIES

Customers agree not to engage in any activity that may interfere with the operation, integrity, or security of the Website.

Without limitation, Customers shall not:

  • violate any applicable law or regulation;
  • submit false or misleading information;
  • impersonate another individual or entity;
  • interfere with the Website's functionality;
  • upload malicious software or harmful code;
  • introduce viruses, ransomware, spyware, or malware;
  • gain or attempt to gain unauthorised access to Company systems;
  • scrape, crawl, harvest, or extract Website data using automated tools;
  • circumvent security measures implemented by DS Labs;
  • use the Website for fraudulent or unlawful purposes;
  • engage in abusive, threatening, or harassing conduct towards Company personnel; or
  • use the Website in any manner that may damage the reputation of DEADSTCK or DS Labs.

Violation of this Section may result in immediate suspension or permanent termination of Website access without prior notice.

DS Labs employs commercially reasonable security measures designed to protect the integrity of the Website.

However, no website or electronic communication system can be guaranteed to be completely secure.

Customers acknowledge that use of the internet carries inherent risks and agree that DS Labs shall not be liable for losses resulting from:

  • unauthorised third-party access;
  • hacking;
  • phishing attacks;
  • malware;
  • denial-of-service attacks;
  • internet outages; or
  • any other cyber-security incident beyond the Company's reasonable control.

Customers are responsible for maintaining appropriate security over their own devices, passwords, and internet connections.

25. THIRD-PARTY SERVICES

The Website may utilise or integrate services provided by independent third parties, including but not limited to:

  • payment gateways;
  • courier and logistics providers;
  • analytics providers;
  • marketing platforms;
  • customer support software; and

Such third-party services operate independently of DS Labs.

By using the Website, Customers consent to the Company's handling of personal information in accordance with the Privacy Policy.

By accessing the Website or communicating electronically with DS Labs, Customers consent to receive communications electronically.

  • order confirmations;
  • invoices;
  • shipping notifications;

30. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law, DS Labs, its directors, employees, affiliates, representatives, licensors, suppliers, and agents shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising from or relating to:

  • shipping or delivery delays;

In no event shall the aggregate liability of DS Labs exceed the amount actually paid by the Customer for the Product giving rise to the claim.

Nothing contained in these Terms shall limit or exclude any liability that cannot legally be limited or excluded under applicable law.

31. INDEMNIFICATION

The Customer agrees to indemnify, defend, and hold harmless DS Labs, its affiliates, officers, directors, employees, representatives, contractors, licensors, and agents from and against any claims, losses, liabilities, damages, costs, expenses, or legal fees arising out of or relating to:

  • violation of these Terms;
  • misuse of the Website;
  • fraudulent or unlawful activity;
  • infringement of any third-party rights;
  • submission of false or misleading information;
  • breach of any applicable law; or
  • any act or omission attributable to the Customer.

The obligations contained in this Section shall survive termination of these Terms.

32. FORCE MAJEURE

DS Labs shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • floods;
  • fires;
  • earthquakes;
  • pandemics;
  • epidemics;
  • governmental actions or restrictions;
  • war;
  • civil unrest;
  • terrorism;
  • labour strikes;
  • transportation disruptions;
  • shortages of materials;
  • utility failures;
  • internet outages;
  • cyber incidents; or
  • failures of third-party service providers.

During the continuance of any Force Majeure event, the obligations of DS Labs shall be suspended to the extent affected by such event.

33. TERMINATION

DS Labs reserves the right to suspend, restrict, or terminate a Customer's access to the Website, with or without prior notice, where the Company reasonably believes that the Customer has:

  • violated these Terms;
  • engaged in fraudulent activity;
  • misused the Website;
  • infringed the intellectual property rights of DS Labs or any third party;
  • interfered with the operation or security of the Website; or
  • acted in a manner likely to harm the reputation, business, or legitimate interests of DS Labs.

Termination shall not affect any rights or obligations that accrued prior to the date of termination.

34. SEVERABILITY

If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful, or unenforceable, such provision shall be deemed severed only to the extent necessary.

The remaining provisions shall continue in full force and effect and shall remain binding upon the parties.

35. WAIVER

Any waiver shall be effective only if made expressly in writing by an authorised representative of DS Labs.

36. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Shipping Policy, Return, Exchange & Store Credit Policy, and any additional policies published on the official DEADSTCK website, constitute the entire agreement between the Customer and DS Labs concerning the use of the Website and the purchase of Products.

These Terms supersede all prior communications, representations, understandings, and agreements relating to the same subject matter.

37. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

Subject to any mandatory rights available under applicable law, the courts having jurisdiction over New Delhi, Delhi, India, shall have exclusive jurisdiction to hear and determine any dispute arising out of or relating to these Terms, the Website, or any transaction between the Customer and DS Labs.

Before initiating legal proceedings, Customers are encouraged to contact DS Labs so that both parties may attempt to resolve the matter amicably.

38. CHANGES TO THESE TERMS

DS Labs reserves the right to amend, modify, replace, or update these Terms at any time to reflect changes in applicable laws, business operations, technology, or the services offered through the Website.

The most current version of these Terms will always be published on the official DEADSTCK website.

Continued access to or use of the Website following the publication of revised Terms constitutes acceptance of the updated Terms.

Customers are encouraged to review these Terms periodically.

39. COMPLIANCE WITH APPLICABLE LAWS

DS Labs conducts its business in accordance with the applicable laws of the Republic of India governing e-commerce, consumer protection, taxation, intellectual property, and electronic transactions.

Customers agree to use the Website in compliance with all applicable local, state, national, and international laws and regulations.

Nothing contained in these Terms shall be interpreted as limiting any statutory rights available to consumers under applicable law.

40. EXPORT CONTROL

Products offered through the Website are intended for lawful personal use.

Customers shall not export, re-export, or transfer Products in violation of any applicable export control laws, sanctions, or governmental restrictions.

DS Labs reserves the right to refuse any transaction where compliance concerns arise.

41. ASSIGNMENT

42. NO PARTNERSHIP

  • a franchise relationship

between the Customer and DS Labs.

Each party shall remain an independent contracting party.

43. SURVIVAL

The following provisions shall survive termination of these Terms where their nature requires continued operation:

  • Trademarks

  • Governing Law
  • Dispute Resolution

44. HEADINGS

Section headings and titles contained in these Terms are included solely for convenience and shall not affect the interpretation of any provision.

45. LANGUAGE

In the event these Terms are translated into any other language, the English version shall prevail to the extent permitted under applicable law.
